Official Rules: 2013 Student Giveaway Contest

CourseSmart's Invitation to Enter

NO PURCHASE NECESSARY TO ENTER OR WIN. ODDS OF WINNING DEPEND ON THE NUMBER OF ELIGIBLE ENTRIES RECEIVED. VOID WHERE PROHIBITED. The CourseSmart "2013 Student Giveaway" Contest ("Contest") begins at 12:00:00 AM Eastern Time ("ET") on August [30], 2013 and ends at 11:59:59 PM ET on October 31, 2013 ("Contest Entry Period").

  1. ELIGIBILITY: Only legal residents of (i) the 50 United States, (ii) the District of Columbia (excluding Puerto Rico and all other territories) and (iii) Canada, excluding the province of Quebec (collectively, the "Contest Territory"), who are 18 years of age or older, and who at the time of enrollment are students at a college or university located in the Contest Territory are eligible to enter the Contest.

  2. HOW TO ENTER: There are two (2) phases to the Contest:

    Phase 1: The Contest Entry and Judging Period; and

    Phase 2: The Announcement of the Winners.

    Phase 1: Contest Entry and Judging Period: The Contest Entry and Judging Period begins at 12:00:00 AM (midnight) ET on August [30], 2013 and ends at 11:59:59 PM ET on October 31, 2013 (the "Contest Entry Period"). Entries received after the Contest Entry Period are void and ineligible for consideration by the judges. To enter, eligible students must click a link provided by their instructors and may either complete the form that is provided (no purchase necessary), or purchase the CourseSmart digital materials assigned by their instructor. Students who purchase the CourseSmart digital materials assigned by their instructor will automatically be entered in the Contest.

    Entries will be judged on the basis of the number of students who enter the Contest.

    Upon completion of the Contest Entry Period, the judges will randomly select from all entries submitted prior to the expiration of the Contest Entry Period fifteen (15) students. Each selected student will win the Grand Prize (as described below). Only fifteen (15) Grand Prizes will be awarded. If a winner cannot participate for any reason, an alternate winner may be selected. The judges’ decisions will be final and binding.

    Phase 2: The Winner(s) Notification and Announcement: All winners will be notified in November 2013. The winners may be notified by phone or e-mail (the "Prize Notification") and may be required to satisfactorily complete (1) an Affidavit of Eligibility showing that the winner has complied with these rules (the "Affidavit"), (2) a Liability and Publicity Release (the "Release"), (3) a W-9 or equivalent form, and (4) proof of student status (form of proof can be a letter from an appropriate campus administrator, i.e. department chair or dean). CourseSmart reserves the right to determine the validity of student status. By signing the Release, each prize winner will agree that CourseSmart and anyone CourseSmart may authorize, may publish, display and otherwise use the winner's name, photograph or other likeness, biographical information and statements concerning the Contest or CourseSmart for purposes of advertising and promotion without additional compensation. The potential winner then and only then becomes a "winner". All information submitted is subject to verification by CourseSmart. CourseSmart reserves the right to revoke the prize in the event of material misrepresentation. If a potential winner cannot be contacted, is ineligible or fails to return the completed and executed Affidavit and Release, if the Prize Notification is returned undeliverable, or if the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit the prize and the prize may be awarded to an alternate winner as selected by CourseSmart.

  3. CONTEST PRIZES: CourseSmart will award each of the fifteen (15) randomly selected winners an iPad Mini (or other similar device as determined by CourseSmart) (the "Grand Prize"). Prizes may not be redeemed for cash value. If the individual selected declines to participate or is unable to fulfill Contest requirements, there will be no cash compensation awarded to him or her.

  4. PRIZE AWARDING: All students are limited to winning one Grand Prize. CourseSmart will award prizes only upon winner confirmation, verification and final approval. No substitution, transfer of any prize or cash alternative is permitted, except CourseSmart reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if the Grand Prize, or portion of the Grand Prize, become unavailable.


    1. CourseSmart is not responsible for technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, software or web site. CourseSmart is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate entry information, howsoever caused, or other error of any kind whether human, mechanical or electronic. Entrants found tampering with or abusing any aspect of this Contest, as solely determined by the judges, will be disqualified. If disqualified for any of the above abuses, CourseSmart reserves the right to terminate entrant’s eligibility to participate in the Contest. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be in violation of criminal and civil law, and, should such an attempt be made, CourseSmart reserves the right to seek damages from any such person to the fullest extent permitted by law. CourseSmart’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

    2. CourseSmart reserves the right to terminate, cancel, suspend and/or modify the Contest if any fraud, virus or other technical problem corrupts the administration, security, or proper play of the Contest, as determined by CourseSmart in its sole discretion. In such event, CourseSmart reserves the right to award the prize to the entrant whose referrals have received the next greatest number of student purchases at the time of the impairment.

    3. Only the stated number of prizes will be awarded. In no event will more prizes be awarded than described above.

    4. In the event of a dispute as to the identity of an online entrant, the online entry in question will be deemed submitted by the authorized account holder of the e-mail. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide CourseSmart with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

    5. By entering the Contest and/or accepting a prize, entrants/prize winners agree to: (1) be bound by these Official Rules; (2) release CourseSmart, its officers, directors, members, related entities, partners, partnerships, principals, representatives, agents, licensees, sponsors, successors and assigns and their respective estates and/or family members (collectively, the "CourseSmart Group") from all liability, claims, action, or proceedings relating to the Contest and from injuries or damages arising in connection with or relating to participation in the Contest, or use or misuse of a prize; and (3) waive any right to claim ambiguity in the Contest or these Official Rules. By accepting a prize, each winner further acknowledges that CourseSmart has not made, and is not in any manner responsible or liable for, any warranty, representation or guarantee, express or implied in fact or in law, relative to a prize or prize supplier or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose including, without limitation, use of any equipment associated with a prize.

    6. CourseSmart reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest, to void suspect entries and/or cancel, terminate or suspend any portion of this Contest should a virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of CourseSmart corrupt or impair the administration, security, fairness or proper play of the Contest and, in any such event, at its discretion, select winners from eligible, non-suspect entries received prior to the event requiring such termination, cancellation or suspension.

    7. CourseSmart is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of winners, or the distribution of any prize.

    8. The CourseSmart Group (i) makes no warranty, guaranty or representation of any kind concerning any prize, (ii) disclaims any implied warranty, and (iii) is not liable for injury, loss, or damage of any kind resulting from the acceptance or use of any prize, travel related thereto or from participation in this Contest.

  6. TAX INFORMATION: All applicable federal, state, local, provincial and other taxes on prizes are the sole responsibility of the respective winners.

  7. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and CourseSmart in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of California. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

  8. WINNERS LIST: To request the name(s) of the winner(s) of prizes valued over $25, send a self-addressed stamped envelope to CourseSmart LLC, 1800 Gateway Drive, Suite 120, San Mateo, CA 94404. Requests must be received by no later than February 15, 2014.
